In June 2017, Pinnacle Financial Partners, Inc. (NASDAQ: PNFP) closed a $1.9 billion merger with BNC Bancorp (NASDAQ: BNCN) pursuant to which BNC merged with and into Pinnacle. With the completion of the transaction, Pinnacle becomes a Top 50 U.S. Bank. The merger will create a four state footprint concentrated in 12 of the largest urban markets in the Southeast. 

Bass, Berry & Sims has served Pinnacle as primary corporate and securities counsel for more than 15 years and served as counsel on the transaction. Our attorneys were involved in all aspects related to the agreement, including tax, employee benefits and litigation.

Whether representing creditors, debtors, committees or trustees, Paul Jennings applies more than 20 years of experience to finding creative solutions for clients faced with a financially troubled company. He has been involved in several of the largest Chapter 11 reorganization proceedings in the state of Tennessee, in addition to representing clients in insolvency-related litigation matters including preference, fraudulent conveyance and proofs of claim issues. He often provides counsel to clients on board-related insolvency fiduciary duty issues. Paul also represents court-appointed receivers and trustees, including a recent success representing the liquidating trustee in a high-profile bankruptcy and achieved multi-million dollar D&O settlement on a contingency basis.

Paul's practice involves:

  • Debtor Representation – Representing corporate debtors in bankruptcy and other insolvency proceedings, including with regard to reorganizations and liquidations.
  • Creditor Representation – Representing a variety of creditors including institutional secured creditors, unsecured vendors, and other parties involved in bankruptcy or other insolvency proceedings.
  • Receivers, Examiners and Trustees – Representing estate fiduciaries in reorganizations, liquidations and with regard to related litigation including avoidance litigation, and other estate recoveries.

Paul was a participant in the inaugural class of the American Bankruptcy Institute's bankruptcy mediation training program at St. John's University's Carey Center for Dispute Resolution which focused mediation training on the unique circumstances presented in insolvency and bankruptcy situations, including preference and fraudulent conveyance claims and litigation, confirmation and valuation disputes and claims litigation.
