Envision to Sell to KKR for $9.9 Billion

We represented Envision Healthcare Corporation (NYSE: EVHC) in its definitive agreement to sell to KKR in an all-cash transaction for $9.9 billion, including debt. KKR will pay $46 per Envision share in cash to buy the company, marking a 32 percent premium to the company's volume-weighted average share price from November 1, when Envision announced it was considering its options. The transaction is expected to close the fourth quarter of 2018. Read more

Brooke Howlett is an associate in the Litigation & Dispute Resolution Practice Group where she represents clients in complex litigation, contract disputes and business torts. Brooke also assists clients in responding to government investigations and related civil and criminal proceedings, including allegations related to the False Claims Act (FCA).

Prior to joining Bass, Berry & Sims, Brooke was an associate at Davis Wright Tremaine, LLP in Seattle, Washington, where she represented clients in disputes involving white collar crime, intellectual property, media law issues, and contract disputes. During law school, Brooke served as a judicial extern for the U.S. District Court, Western District of Washington for the Honorable Ricardo S. Martinez.
