In June 2017, Pinnacle Financial Partners, Inc. (NASDAQ: PNFP) closed a $1.9 billion merger with BNC Bancorp (NASDAQ: BNCN) pursuant to which BNC merged with and into Pinnacle. With the completion of the transaction, Pinnacle becomes a Top 50 U.S. Bank. The merger will create a four state footprint concentrated in 12 of the largest urban markets in the Southeast. 

Bass, Berry & Sims has served Pinnacle as primary corporate and securities counsel for more than 15 years and served as counsel on the transaction. Our attorneys were involved in all aspects related to the agreement, including tax, employee benefits and litigation.

Alison Grippo represents national and local clients in litigation related to data security, privacy and cyberliability; technology and intellectual property; healthcare and First Amendment issues. Prior to joining the firm, Alison worked at the Federal Trade Commission (FTC), the Federal Communications Commission (FCC) and in the chambers of the Honorable John T. Nixon of the Middle District of Tennessee.

Her practice includes:

  • Intellectual Property Litigation – Representing clients in intellectual property disputes related to patent, trademark, trade dress, copyright, false advertising, unfair competition, data security and identity protection, and the First Amendment.
  • Consumer Protection Litigation – Representing clients in claims related to unfair or deceptive business practices under the Lanham Act, Tennessee Consumer Protection Act (TCPA) and a variety of other state and federal consumer protection statutes.
  • Healthcare Disputes – Representing healthcare providers on a range of matters including medical malpractice, managed care litigation, the False Claims Act (FCA) and healthcare fraud investigations.
  • Data Security, Privacy & Cyberliability – Counseling clients that have experienced significant security breaches involving sensitive business information or customers' personal information and compliance with state security breach notification laws.

Alison assisted in drafting and advocated for passage of the Tennessee Civil Justice Act of 2011. She is a member of the firm's pro bono committee and leads the firm's pro bono adoption program. Alison also volunteers her time at legal clinics with Legal Aid Society of Middle Tennessee and is an active alumnus of Vanderbilt Law School.
