In June 2017, Pinnacle Financial Partners, Inc. (NASDAQ: PNFP) closed a $1.9 billion merger with BNC Bancorp (NASDAQ: BNCN) pursuant to which BNC merged with and into Pinnacle. With the completion of the transaction, Pinnacle becomes a Top 50 U.S. Bank. The merger will create a four state footprint concentrated in 12 of the largest urban markets in the Southeast. 

Bass, Berry & Sims has served Pinnacle as primary corporate and securities counsel for more than 15 years and served as counsel on the transaction. Our attorneys were involved in all aspects related to the agreement, including tax, employee benefits and litigation.

Denise Griffin has nearly 20 years of experience assisting clients related to a variety of real estate transactions. She counsels public and private companies though the acquisition, financing, disposition and leasing of real property to help clients achieve their strategic business objectives. Her practice includes:

  • drafting and negotiating commercial contracts, leases, licenses and easements.
  • conducting due diligence, commercial financial underwriting and regulatory compliance for various commercial real estate transactions.

Prior to joining Bass, Berry & Sims, Denise served as in-house counsel at a Manhattan real estate investment firm and previously served as in-house counsel with the core services division of the third largest privately owned real estate company. She began her legal career as a local managing attorney overseeing the Real Estate Title and Default Services divisions at a Chicago-based law firm.
