On December 1, 2016, Parker Hannifin Corporation and CLARCOR Inc. announced that the companies have entered into a definitive agreement under which Parker will acquire CLARCOR for approximately $4.3 billion in cash, including the assumption of net debt. The transaction has been unanimously approved by the board of directors of each company. Upon closing of the transaction, expected to be completed by or during the first quarter of Parker’s fiscal year 2018, CLARCOR will be combined with Parker’s Filtration Group to form a leading and diverse global filtration business. Bass, Berry & Sims has served CLARCOR as primary corporate and securities counsel for 10 years and served as lead counsel on this transaction. Read more here.

For more than 30 years, Chuck Grice has represented banks, underwriters and issuers in tax-exempt bond transactions financing capital projects for nonprofit organizations across the Southeast. In the last 10 years, he has represented lenders in more than 150 tax-exempt bond issues involving universities, hospitals, private schools and other large nonprofit organizations. His experience also involves representing lenders in a range of secured lending and syndicated loan transactions. Chuck actively follows the changing rules related to financial institutions and bond market factors to ensure he is delivering legal advice consistent with the economic realities facing his clients.

Chuck's practice includes:

  • Public Finance – Representing banks and underwriters in tax-exempt bond financings. 
  • Debt Finance – Representing lenders in construction loans, syndicated loan facilities and other types of financing transactions.

Prior to joining Bass, Berry & Sims, Chuck practiced with Stites & Harbison PLLC in Nashville.
