In June 2016, AmSurg Corp. and Envision Healthcare Holdings, Inc. (Envision) announced they have signed a definitive merger agreement pursuant to which the companies will combine in an all-stock transaction. Upon completion of the merger, which is expected to be tax-free to the shareholders of both organizations, the combined company will be named Envision Healthcare Corporation and co-headquartered in Nashville, Tennessee and Greenwood Village, Colorado. The company's common stock is expected to trade on the New York Stock Exchange under the ticker symbol: EVHC. Bass, Berry & Sims served as lead counsel on the transaction, led by Jim Jenkins. For more than 30 years, Chuck Grice has represented banks, underwriters and issuers in tax-exempt bond transactions financing capital projects for nonprofit organizations across the Southeast. In the last 10 years, he has represented lenders in more than 150 tax-exempt bond issues involving universities, hospitals, private schools and other large nonprofit organizations. His experience also involves representing lenders in a range of secured lending and syndicated loan transactions. Chuck actively follows the changing rules related to financial institutions and bond market factors to ensure he is delivering legal advice consistent with the economic realities facing his clients.

Chuck's practice includes:

  • Public Finance – Representing banks and underwriters in tax-exempt bond financings. 
  • Debt Finance – Representing lenders in construction loans, syndicated loan facilities and other types of financing transactions.

Prior to joining Bass, Berry & Sims, Chuck practiced with Stites & Harbison PLLC in Nashville.
