In June 2017, Pinnacle Financial Partners, Inc. (NASDAQ: PNFP) closed a $1.9 billion merger with BNC Bancorp (NASDAQ: BNCN) pursuant to which BNC merged with and into Pinnacle. With the completion of the transaction, Pinnacle becomes a Top 50 U.S. Bank. The merger will create a four state footprint concentrated in 12 of the largest urban markets in the Southeast. 

Bass, Berry & Sims has served Pinnacle as primary corporate and securities counsel for more than 15 years and served as counsel on the transaction. Our attorneys were involved in all aspects related to the agreement, including tax, employee benefits and litigation.

As a senior healthcare attorney, Louise Gaerig counsels healthcare clients on a range of operational, regulatory and compliance matters with a particular focus on transactions, managed care contracting, healthcare regulatory matters, operations and licensure. Drawing on her 10 years of experience as the former general counsel and vice president of StoneRiver Pharmacy Solutions, Inc. and its affiliate Progressive Medical, Inc. (now known as OptumRx), she is able to provide first-hand experience to clients within this specialized industry. During her tenure with StoneRiver Pharmacy Solutions, she was responsible for the management of all transactional matters affecting each business unit under the StoneRiver/Progressive Medical umbrella doing business in all 50 states.

  • Contracting, Regulatory & Operational Matters – Counseling hospitals and other healthcare providers on a wide range of matters related to managed care contracting, licensure, certification and accreditation of healthcare facilities, hospital/physician contracting, specialty provider contracting, Medicare enrollment, provider-based issues, reimbursement analyses, and other operational and regulatory issues.
  • Healthcare Compliance – Providing regulatory compliance counsel on matters relating to Health Insurance Portability and Accountability Act (HIPAA) and state law privacy and security laws.
  • Specialty Pharmacy – Assisting specialty pharmacies with contract negotiation, regulatory guidance and licensing issues.

Prior to joining StoneRiver, Louise was partner in the Memphis, Tennessee, office of Wyatt, Tarrant & Combs, LLP focusing on corporate and securities and real estate matters.
