Alere logoBass, Berry & Sims routinely assists our clients in obtaining the Certificates of Need (CON) that are required to initiate healthcare services in Tennessee and other states. Recently, the firm assisted a leading homecare provider – Alere Women's and Children's Health LLC – obtain three CONs to significantly expand its services. Each of these CON applications was unanimously approved by Tennessee regulators. The expansion of Alere's services into all 95 Tennessee counties will greatly improve access to critical maternal and fetal medicine services in the state.

  • Leslie Ford has been actively involved in $6 billion worth of financing transactions in the last five years, with more than $400 million in the healthcare industry. Serving a diverse client list, Leslie represents institutional lenders, private equity investors, public and private borrowers and issuers in secured and unsecured financing transactions. She has represented REIT clients in the negotiation of debt arrangements and routinely represents private equity funds both in acquisition financings as borrowers and in mezzanine financings as lenders.

    Leslie's success with her commercial practice extends to the collaboration with attorneys in the Corporate & Business Practice Group.

    • Commercial Finance – Representing clients in secured and unsecured financing transactions including syndicated credit facilities, acquisition financings, first and second lien credit facilities, high-yield corporate notes, asset-based financings, mezzanine financings, equipment financings, construction loans, loan workouts and restructurings.
    • Corporate Transactions – Representing clients in negotiating and documenting public offerings and Rule 144A offerings of debt securities and convertible debt securities.

    By thinking creatively with her clients, Leslie works to close deals with successful outcomes that go beyond the numbers to the broader business objectives. For borrowers and issuers, this means strategic and efficient access to capital while maintaining maximum operational flexibility in debt arrangements. For lenders, it means effectively managing risk while simultaneously entering into a successful, mutually beneficial relationship with the borrower.
