In June 2016, AmSurg Corp. and Envision Healthcare Holdings, Inc. (Envision) announced they have signed a definitive merger agreement pursuant to which the companies will combine in an all-stock transaction. Upon completion of the merger, which is expected to be tax-free to the shareholders of both organizations, the combined company will be named Envision Healthcare Corporation and co-headquartered in Nashville, Tennessee and Greenwood Village, Colorado. The company's common stock is expected to trade on the New York Stock Exchange under the ticker symbol: EVHC. Bass, Berry & Sims served as lead counsel on the transaction, led by Jim Jenkins. Felix Dowsley focuses his practice on structuring complex debt transactions. In 30 years of practice, Felix has developed deep knowledge of the debt market and understands what is "market" for deal terms from both the lender and borrower perspective. In the last three years alone, he has negotiated more than $2.7 billion in debt transactions for public companies, regional and national lenders, and large corporate and middle market borrowers.

Felix's practice spans many industries, including real estate investment trusts (REITs), healthcare, energy, hospitality, professional sports, government contracting, manufacturing, logistics, wholesale/retail and restaurants and includes assisting clients with:

  • Secured and unsecured syndicated loan facilities
  • Subordinated and mezzanine financings
  • Asset-based loans
  • Construction and project financings
  • Work-outs and restructures of credit facilities
  • Sale and leasing of commercial real estate

Felix is known for his practical and goal-oriented approach to helping clients navigate an ever-changing and increasingly competitive business environment. In addition to his commercial finance and real estate work, he also collaborates with the firm's Corporate & Securities Practice Group on deals that involve complex financing issues.
