On December 1, 2016, Parker Hannifin Corporation and CLARCOR Inc. announced that the companies have entered into a definitive agreement under which Parker will acquire CLARCOR for approximately $4.3 billion in cash, including the assumption of net debt. The transaction has been unanimously approved by the board of directors of each company. Upon closing of the transaction, expected to be completed by or during the first quarter of Parker’s fiscal year 2018, CLARCOR will be combined with Parker’s Filtration Group to form a leading and diverse global filtration business. Felix Dowsley focuses his practice on structuring complex debt transactions. In 30 years of practice, Felix has developed deep knowledge of the debt market and understands what is "market" for deal terms from both the lender and borrower perspective. In the last three years alone, he has negotiated approximately $4.2 billion in debt transactions for public companies, regional and national lenders, and large corporate and middle market borrowers.

Felix's practice spans many industries, including real estate investment trusts (REITs), healthcare, energy, hospitality, professional sports, government contracting, manufacturing, logistics, wholesale/retail and restaurants and includes assisting clients with:

  • Secured and unsecured syndicated loan facilities
  • Subordinated and mezzanine financings
  • Asset-based loans
  • Construction and project financings
  • Work-outs and restructures of credit facilities
  • Sale and leasing of commercial real estate

Felix is known for his practical and goal-oriented approach to helping clients navigate an ever-changing and increasingly competitive business environment. In addition to his commercial finance and real estate work, he also collaborates with the firm's Corporate & Securities Practice Group on deals that involve complex financing issues.
