Envision to Sell to KKR for $9.9 Billion

We represented Envision Healthcare Corporation (NYSE: EVHC) in its definitive agreement to sell to KKR in an all-cash transaction for $9.9 billion, including debt. KKR will pay $46 per Envision share in cash to buy the company, marking a 32 percent premium to the company's volume-weighted average share price from November 1, when Envision announced it was considering its options. The transaction is expected to close the fourth quarter of 2018. Read more

Felix Dowsley focuses his practice on structuring complex debt transactions. In 30 years of practice, Felix has developed deep knowledge of the debt market and understands what is "market" for deal terms from both the lender and borrower perspective. In the last three years alone, he has negotiated approximately $4.2 billion in debt transactions for public companies, regional and national lenders, and large corporate and middle market borrowers.

Felix's practice spans many industries, including real estate investment trusts (REITs), healthcare, energy, hospitality, professional sports, government contracting, manufacturing, logistics, wholesale/retail and restaurants and includes assisting clients with:

  • Secured and unsecured syndicated loan facilities
  • Subordinated and mezzanine financings
  • Asset-based loans
  • Construction and project financings
  • Work-outs and restructures of credit facilities
  • Sale and leasing of commercial real estate

Felix is known for his practical and goal-oriented approach to helping clients navigate an ever-changing and increasingly competitive business environment. In addition to his commercial finance and real estate work, he also collaborates with the firm's Corporate & Securities Practice Group on deals that involve complex financing issues.
