In the last 30 years, Page has worked with countless companies on complex corporate transactions, such as the leveraged buyout (LBO) and subsequent initial public offering (IPO) of the nation’s leading provider of healthcare services, at the time the largest LBO in history. Page guides both public and private companies in executing their business strategies, representing numerous companies from initial formation through public offering and ultimate sale. Page has been recognized by Best Lawyers in America® as the Nashville Securities/Capital Markets Law “Lawyer of the Year” (2022) and the Nashville Leveraged Buyouts and Private Equity Law “Lawyer of the Year” (2021).
While Page’s clients include a significant concentration of healthcare companies, he also works with companies in a number of other industries, including food and beverage, industrial, hospitality, technology and retail. His practice involves a broad spectrum of corporate and securities matters, including:
- Mergers and Acquisitions – Representing public and private strategic and private equity clients on merger and acquisition transactions; representing publicly traded corporations through both privately negotiated and auction process transactions; advising on acquisitions or divestitures of operating subsidiaries or divisions; and coordinating related acquisition financing.
- Capital Formation – Working with issuers as well as venture capital and private equity firms in connection with corporate finance and capital market transactions, including registered and unregistered equity and debt offerings.
- Shareholder Activism – Advising boards of directors with respect to shareholder proposals, proxy contests, defensive measures, and regulatory and legislative initiatives relating to governance and director elections.
- Corporate Governance – Advising boards of directors or special committees with respect to corporate governance issues, as well as advising special committees on corporate restructurings, management led buy outs and investigations.
Page has served in various leadership positions within the firm, including on the firm’s Executive Committee (2015-2017 and 2010-2012), as chair of the Corporate & Securities Practice Group (2003-2009) and as the firm’s hiring partner (2000-2003).
