On December 1, 2016, Parker Hannifin Corporation and CLARCOR Inc. announced that the companies have entered into a definitive agreement under which Parker will acquire CLARCOR for approximately $4.3 billion in cash, including the assumption of net debt. The transaction has been unanimously approved by the board of directors of each company. Upon closing of the transaction, expected to be completed by or during the first quarter of Parker’s fiscal year 2018, CLARCOR will be combined with Parker’s Filtration Group to form a leading and diverse global filtration business. Krista Cooper advises healthcare providers and companies on the transactional and operational aspects of their business. With both compliance and business objectives in mind, Krista helps clients identify the impact of joint ventures, mergers and acquisitions and other transactions. In addition, clients rely on her for regulatory and operational guidance. Recently, she assisted a major, publicly traded health system with the onboarding strategy for all new physician acquisitions. 

Krista's practice involves:

  • Operational Contracts – Drafting physician agreements, professional services agreements and other arrangements related to healthcare operations.
  • Transactions – Representing healthcare companies and investors in mergers, acquisitions, joint ventures and strategic partnerships.
  • Regulatory Matters – Advising on complex regulatory matters, including issues related to the Stark and Anti-Kickback Laws as well as state laws regarding fee splitting, corporate practice of medicine and licensure.
  • Compliance and Administrative Proceedings – Counseling clients with respect to Medicare and Medicaid audits and related appeals.
