On December 1, 2016, Parker Hannifin Corporation and CLARCOR Inc. announced that the companies have entered into a definitive agreement under which Parker will acquire CLARCOR for approximately $4.3 billion in cash, including the assumption of net debt. The transaction has been unanimously approved by the board of directors of each company. Upon closing of the transaction, expected to be completed by or during the first quarter of Parker’s fiscal year 2018, CLARCOR will be combined with Parker’s Filtration Group to form a leading and diverse global filtration business.   • Mergers & Acquisitions – Advising clients, both provider and supplier side, through a broad range of transaction arrangements including:
    • Mergers, acquisitions, syndications, joint ventures and strategic investment opportunities. 
    • Drafting of purchase agreements and ancillary transaction documents.
    • Analysis of physician relationships and other due diligence matters.
    • Assisting with the coordination of private equity investments, venture capital and growth equity financing and recapitalizations.
  • Contracting, Regulatory & Operational Matters – Providing regulatory analysis and advice on operational impacts including:
    • Facilitation and review of clinical research arrangements.
    • Review and negotiation of agreements between large physician groups and medical device manufacturers.
    • Review and negotiation of agreements related to the shift toward physician/hospital integration.
    • Representation of hospitals and physician practices regarding fraud and abuse, physician self-referral and fee-splitting issues, including structuring physician financial arrangements and compensation methodologies.
