Envision to Sell to KKR for $9.9 Billion

We represented Envision Healthcare Corporation (NYSE: EVHC) in its definitive agreement to sell to KKR in an all-cash transaction for $9.9 billion, including debt. KKR will pay $46 per Envision share in cash to buy the company, marking a 32 percent premium to the company's volume-weighted average share price from November 1, when Envision announced it was considering its options. The transaction is expected to close the fourth quarter of 2018. Read more

Dr. Shu Chen provides strategic patent counseling services to clients ranging from individual inventors, start-ups, research institutes, to Fortune 500 companies. She manages portfolios of patents and patent applications, helps clients develop strategies for building patent portfolios, helps clients identify patentable inventions, and prepares and prosecutes patent applications, both in the United States and internationally. Shu has helped clients navigate the changes enacted in the America Invents Act (AIA). Her current practice covers a wide range of computer-related technologies. Shu has substantial patent experience in distributed system architectures, Internet and client-server systems, search engines, cloud architectures and applications, anti-virus and data encryption techniques, telecommunications, medical devices, automobiles and mechanical devices.

Prior to joining Bass, Berry & Sims, Shu was a patent agent at a prestigious international IP boutique firm and a general practice law firm in downtown D.C. Before working in the legal industry, Shu served as a research assistant at Tufts University's Millimeter and Submillimeter Waves Laboratory, working on free-space broad band dielectric measurement of solid materials.
