In June 2017, Pinnacle Financial Partners, Inc. (NASDAQ: PNFP) closed a $1.9 billion merger with BNC Bancorp (NASDAQ: BNCN) pursuant to which BNC merged with and into Pinnacle. With the completion of the transaction, Pinnacle becomes a Top 50 U.S. Bank. The merger will create a four state footprint concentrated in 12 of the largest urban markets in the Southeast. 

Bass, Berry & Sims has served Pinnacle as primary corporate and securities counsel for more than 15 years and served as counsel on the transaction. Our attorneys were involved in all aspects related to the agreement, including tax, employee benefits and litigation.

In more than 40 years of practice, Jim Cheek has advised a wide variety of public companies in the areas of corporate governance, mergers and acquisitions, private equity transactions and securities offerings. From his office in Nashville, Tennessee, he has been at the center of significant national transactions, including the largest domestic leveraged buyout in the history at the time, of a healthcare company. He routinely represents boards of directors and special committees of boards in matters involving activist shareholders and strategic decisions.

Jim has an active regulatory practice, advising companies in need of an independent review of regulatory policies and procedures. He led a team of Bass, Berry & Sims attorneys after the firm was engaged as the Regulatory Auditor of the New York Stock Exchange from 2005 to 2013.   • Representation of public companies in successful joint ventures, spinoffs and other complex corporate reorganization matters.
  • Representation of numerous private companies in merger and acquisition and financing transactions.
  • Counsel for the independent directors of mutual funds.

Jim is a frequent lecturer at national CLE programs on securities regulation and corporate governance. In addition to his legal practice, from 2013-2017 Jim was a faculty member at Vanderbilt Law School where he served as Professor of Practice and taught a course on representing public companies.
