Envision to Sell to KKR for $9.9 Billion

We represented Envision Healthcare Corporation (NYSE: EVHC) in its definitive agreement to sell to KKR in an all-cash transaction for $9.9 billion, including debt. KKR will pay $46 per Envision share in cash to buy the company, marking a 32 percent premium to the company's volume-weighted average share price from November 1, when Envision announced it was considering its options. The transaction is expected to close the fourth quarter of 2018. Read more

Jaime Barwig concentrates her practice on a range of data privacy and security, technology, marketing, advertising and intellectual property transactional matters, including the General Data Protection Regulation (GDPR), the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, GLBA, COPPA, the Federal Trade Commission's (FTC) online advertising and marketing regulations, cybersecurity regulations, advertising and media self-regulatory guidelines, as well as drafting and negotiating software, technology and content licenses, distribution and supply arrangements, consulting and development, and sales agreements, cloud service agreements, research agreements, and internet and e-commerce transactions. 

In particular, she helps clients navigate the ever-evolving landscape of new technologies and media to support and leverage clients' use of technology and data. She also advises on privacy and technology matters associated with mergers, acquisitions, investments, and other significant corporate transactions. Jaime's experience further extends to providing advice on software and mobile application development matters, end-user licenses, user-generated content, and marketing strategies seeking to leverage multiple communications channels.

  • Data Privacy and Protection Compliance – Advising on privacy and data protection compliance strategies, including development of compliance policies and programs, international data transfers, cybersecurity breach preparation and incident response, data aggregation and monetization issues, and data protection relating to cloud computing, behavioral advertising and profiling
  • E-Commerce, Marketing and Advertising – Marketing arrangements, content licensing, media, e-commerce, emerging interactive advertising techniques,  advertising and promotions (including sweepstakes and contests) and compliance with Federal Trade Commission (FTC) laws
  • Technology Transactions – Licensing and service agreements, technology development and licensing agreements, including software and mobile application development matters, strategic alliances, end-user licenses, cloud software and service agreements, and software licensing matters
  • Mergers & Acquisitions – Technology, privacy and marketing due diligence in mergers and acquisitions

Prior to launching her legal career, Jaime was a member of the Teach For America corps, where she taught seventh grade in Chicago. She also worked for a healthcare consulting company before joining the firm.
