In June 2016, AmSurg Corp. and Envision Healthcare Holdings, Inc. (Envision) announced they have signed a definitive merger agreement pursuant to which the companies will combine in an all-stock transaction. Upon completion of the merger, which is expected to be tax-free to the shareholders of both organizations, the combined company will be named Envision Healthcare Corporation and co-headquartered in Nashville, Tennessee and Greenwood Village, Colorado. The company's common stock is expected to trade on the New York Stock Exchange under the ticker symbol: EVHC. Bass, Berry & Sims served as lead counsel on the transaction, led by Jim Jenkins. Dick Barry has practiced with the firm since 1984 following four years as a trial attorney with the Tax Division of the Department of Justice in Washington, D.C. Mr. Barry's major practice areas include the following:

  • Tax and employee benefit plan issues in mergers, acquisitions and other complex business transactions
  • Retirement plans, including 401(k) plans, defined benefit plans, 457 plans and ESOPs
  • Multi-employer plans and collectively bargained plans
  • Executive compensation
  • Nonqualified deferred compensation plans and arrangements

Mr. Barry graduated magna cum laude from Rice University (B.A. in mathematics) where he was elected to Phi Beta Kappa. He earned his law degree from Vanderbilt University where he was a member of Order of the Coif and earned the Founder's Medal for graduation with First Honors. Mr. Barry received his master's degree in Taxation from Georgetown University Law Center in 1984. Mr. Barry formerly practiced with a major law firm in Tampa, Florida and is admitted to practice in both Tennessee and Florida.
