In June 2017, Pinnacle Financial Partners, Inc. (NASDAQ: PNFP) closed a $1.9 billion merger with BNC Bancorp (NASDAQ: BNCN) pursuant to which BNC merged with and into Pinnacle. With the completion of the transaction, Pinnacle becomes a Top 50 U.S. Bank. The merger will create a four state footprint concentrated in 12 of the largest urban markets in the Southeast. 

Bass, Berry & Sims has served Pinnacle as primary corporate and securities counsel for more than 15 years and served as counsel on the transaction. Our attorneys were involved in all aspects related to the agreement, including tax, employee benefits and litigation.

Martha Allard counsels clients in all aspects of intellectual property, with a heavy emphasis on trademark selection, registration and enforcement in the U.S. and abroad. She practices in both federal and state courts and before the U.S. Trademark Trial and Appeal Board.

Martha regularly works with global-brand clients to achieve maximum brand protection. She routinely registers marks in the U.S. and in foreign countries, monitors marks for infringement, initiates litigation and nonlitigation enforcement efforts, and works closely with foreign counsel to stop overseas infringers and counterfeiters.

Martha also regularly advises clients about other IP issues, including those related to licenses, assignments and corporate transactions - all involving all types of IP assets, including patents, copyrights and trademarks. She counsels companies on all types of Internet issues, including domain name disputes and social media issues. She also helps domestic companies that want to completely rebrand by screening and registering the new trademark, the new company name and the new domain names. As a registered patent attorney, Martha also provides broad patent advice on protecting inventions and trade secrets. She has also prepared and prosecuted patent applications for inventions in the electrical and electromechanical arts.

Her practice involves a broad spectrum of intellectual property issues, including:

  • Extensive experience in global brand roll outs, including worldwide trademark selection, clearance and prosecution
  • Full-service trademark enforcement in the U.S. and abroad, particularly in China, the Middle East and Europe
  • Proactive trademark portfolio management, including managing domestic and international trademark portfolios for all sizes of companies across all industry sectors
  • Representation of clients in inter partes proceedings before the U.S. Trademark Trial and Appeal Board
  • Representation of clients in domain name disputes
  • Conducting IP audits for companies of all sizes and in all business sectors
  • Stopping the illegal download of copyrighted works through DMCA Takedown Notices under the U.S. Copyright Act
  • Advising healthcare clients about rebranding necessitated by multiple acquisitions
  • Advising global commercial real estate network about rogue licensees and wrongfully registered trademarks and domain names
  • Advising banking client on trademark issues in anticipation of national expansion
