Our corporate and securities practice developed over that same time as we represented a growing number of start-up companies and providers of venture capital. We currently represent over 40 public companies. We represented many of these companies in their first rounds of financing. Our unique strengths have allowed us to attract new clients from all over the country and abroad. Venture Capital Experience We have extensive experience in healthcare, technology and business services. Effective representation of companies in these industry groups, particularly healthcare, requires significant regulatory knowledge and a keen insight into due diligence, valuation and risk. Effective representation also requires capacity. We manage projects using multi-disciplinary teams to bring together the wide variety of expertise required in venture capital funding transactions. We represent 80 healthcare companies in sizes ranging from healthcare IT start-ups to HCA, the largest hospital company in the world. We also represent a wide variety of companies in technology and business services. We add value to our investor clients as well. We have conducted diligence on investments for our venture capital clients and have structured and completed hundreds of transactions. We focus on bringing value to every transaction. Mezzanine and Junior Capital We continue to provide ideas, information and execution at growth rounds of financing. Through additional equity rounds and mezzanine financing, as investors change and additional leverage becomes attractive and fuels growth, we represent companies and investors and create intelligent, robust capital structures to facilitate continued growth and success. Based on our representation of mezzanine lenders, as well as our representation of institutional senior lenders, we are well versed in negotiating intercreditor agreements and protecting the interests of mezzanine lenders in financing transactions involving both senior and mezzanine debt. We have formed and represent a number of funds and BDCs and provide sophisticated advice with respect to junior capital investment transactions. As our venture capital clients grow and their capital needs evolve, and as existing equity owners manage their investments, we provide advice on recapitalization transactions. Further, we have participated in a number of LBOs; notably in recent years, HCA, at the time the largest going private transaction in U.S. history, PFG, Bright Horizons Family Solutions and Intergraph.
