Page Davidson practices in the Corporate and Securities Practice Area, where his work focuses on mergers and acquisitions of both public and private companies, strategic relationships, such as joint ventures and corporate partnerships, and offerings representing both issuers and underwriters. He also counsels public and private companies on a variety of other corporate and securities matters, including corporate governance, public company disclosure, shareholder activism and consideration of various strategic alternatives. Mergers and Acquisitions: Page has represented public and private strategic and private equity clients with respect to a wide variety of merger and acquisition transactions. He has represented publicly traded corporations through both privately negotiated and auction process transactions. He regularly advises his clients on acquisitions or divestitures of operating subsidiaries or divisions. His practice often includes coordinating an acquisition with raising the necessary capital to finance the purchase price.
Shareholder Activism: Page regularly advises boards of directors with respect to shareholder proposals, proxy contests, defensive measures, and regulatory and legislative initiatives relating to corporate structure and director elections.
Capital Formation: Page has worked with both issuers, underwriters and purchasers in connection with corporate finance and capital market transactions, including registered and unregistered equity and debt offerings, derivative transactions and share repurchases.
Corporate Governance: Page regularly advises boards of directors or special committees with respect to corporate governance issues. He has advised special committees on corporate restructurings, management led buy outs and investigations.
