Envision to Sell to KKR for $9.9 Billion

We represented Envision Healthcare Corporation (NYSE: EVHC) in its definitive agreement to sell to KKR in an all-cash transaction for $9.9 billion, including debt. KKR will pay $46 per Envision share in cash to buy the company, marking a 32 percent premium to the company's volume-weighted average share price from November 1, when Envision announced it was considering its options. The transaction is expected to close the fourth quarter of 2018. Read more

Bass, Berry & Sims Strengthens Healthcare Practice Group, Adding New Specialty Pharmacy and Regulatory Attorneys

Nashville, Tenn., (September 13, 2018) – Bass, Berry & Sims is pleased to announce two additions to its nationally-ranked Healthcare Practice Group – Gina R. Shockley and Marc A. Rigsby. Shockley joins the firm as counsel focusing in the area of pharmaceutical supply chains. Rigsby joins as an associate in the healthcare group's regulatory team.

Shockley has extensive experience in the pharmacy benefit manager (PBM) and pharmaceutical industry. Most recently, Shockley served as Vice President & Associate General Counsel, Supply Chain at Express Scripts, Inc., where she managed the legal support for the supply chain operations for the company across the United States, Canada and the European Union. Before her role at Express Scripts, Shockley was an attorney at Eli Lilly and Company, Inc. responsible for legal matters impacting the U.S. and global promotion of certain products. Prior to graduating cum laude from Indiana University-Indianapolis School of Law, Shockley worked in pharmaceutical sales.

"Gina's experience in both operational and legal roles across the pharmaceutical industry enables her to combine legal guidance with practical business counsel to help companies achieve their business objectives," said Michael R. Hess, head of the firm's Specialty Pharmacy & Pharmaceuticals Practice Group. "We are excited that she is joining our growing team." 

Shockley advises companies in specialty pharmacy on complex strategic projects, including negotiating transactions in compliance with healthcare laws and regulations; offers strategic, contracting, regulatory and operational support to pharmacies, manufacturers and pharmacy benefit management companies; and provides compliance counsel across the pharmaceutical industry.

Shockley is admitted to practice only in Indiana; not licensed in Tennessee or District of Columbia.

Rigsby focuses his practice on healthcare mergers, acquisitions and dispositions, including due diligence, and advising clients on regulatory issues that include compliance with Stark Law, Anti-Kickback Statute, corporate practice of medicine, Certificate of Need (CON) and HIPAA. Previously, Rigsby was an associate at Flaherty Sensabaugh Bonasso, PLLC in Charleston, W. Va. 

Rigsby earned his law degree at Wake Forest University School of Law, Winston-Salem, N.C. While in law school, Rigsby interviewed U.S. Supreme Court Justice Clarence Thomas for the law school's "A Conversation with…" series.
