Envision to Sell to KKR for $9.9 Billion

We represented Envision Healthcare Corporation (NYSE: EVHC) in its definitive agreement to sell to KKR in an all-cash transaction for $9.9 billion, including debt. KKR will pay $46 per Envision share in cash to buy the company, marking a 32 percent premium to the company's volume-weighted average share price from November 1, when Envision announced it was considering its options. The transaction is expected to close the fourth quarter of 2018. Read more

John Golwen, the new managing partner of the firm's Memphis office, was profiled in a Memphis Business Journal article discussing his new position, the evolution of the Memphis office and the firm's role in the Memphis business community. Collaboration between the firm's four offices – Washington, D.C., Nashville, Knoxville and Memphis – is typical, John said, and something he hopes to build on as he manages the Memphis office. "Over the past five to six years, we've moved from being a Memphis group to being a truly integrated part of the entire firm," said John. "Regardless of where you are officed, you're typically working within your practice group, and members of that practice group are interspersed at every single office."
