In June 2017, Pinnacle Financial Partners, Inc. (NASDAQ: PNFP) closed a $1.9 billion merger with BNC Bancorp (NASDAQ: BNCN) pursuant to which BNC merged with and into Pinnacle. With the completion of the transaction, Pinnacle becomes a Top 50 U.S. Bank. The merger will create a four state footprint concentrated in 12 of the largest urban markets in the Southeast. 

Bass, Berry & Sims has served Pinnacle as primary corporate and securities counsel for more than 15 years and served as counsel on the transaction. Our attorneys were involved in all aspects related to the agreement, including tax, employee benefits and litigation.

Bob Horton Provides Insight on Child Bereavement Leave Proposed Amendment to FMLA

In an article published by the Society for Human Resource Management (SHRM), Bob Horton provided insight on a proposed amendment to the Family and Medical Leave Act (FMLA) that would allow time off for a child's death. Since 2012, the chairmen of the board of directors of the Sarah Grace-Foundation for Children with Cancer have been calling for the FMLA to be modified. Bob pointed out that "while bereavement is not generally covered by the FMLA, the law mandates leave to address issues that arise when an employee's covered family member (spouse, son, daughter or parent) dies on active military duty."
