On December 1, 2016, Parker Hannifin Corporation and CLARCOR Inc. announced that the companies have entered into a definitive agreement under which Parker will acquire CLARCOR for approximately $4.3 billion in cash, including the assumption of net debt. The transaction has been unanimously approved by the board of directors of each company. Upon closing of the transaction, expected to be completed by or during the first quarter of Parker’s fiscal year 2018, CLARCOR will be combined with Parker’s Filtration Group to form a leading and diverse global filtration business. Bass, Berry & Sims attorney Richard Arnholt discussed the impact of the Trump Administration's short-lived freeze on the Environmental Protection Agency's (EPA) contracts and grants. The freeze took effect January 23, and was lifted on February 3 after the review had been completed. While this temporary and short-lived freeze had little or no impact on contractors, contractors should stay in close communication with their contracting officers as there will likely be shifts in spending priorities over the coming months. As Richard pointed out in the article, "[t]he fact is, government spending is political. Government grant awards and contract awards reflect policy decisions by an administration — they're one of the mechanisms by which the government affects its policy."
