In June 2017, Pinnacle Financial Partners, Inc. (NASDAQ: PNFP) closed a $1.9 billion merger with BNC Bancorp (NASDAQ: BNCN) pursuant to which BNC merged with and into Pinnacle. With the completion of the transaction, Pinnacle becomes a Top 50 U.S. Bank. The merger will create a four state footprint concentrated in 12 of the largest urban markets in the Southeast. 

Bass, Berry & Sims has served Pinnacle as primary corporate and securities counsel for more than 15 years and served as counsel on the transaction. Our attorneys were involved in all aspects related to the agreement, including tax, employee benefits and litigation.

Bass, Berry & Sims Announces New Leadership in Memphis Office

January 24, 2017

Nashville, Tenn., (January 24, 2017) – Bass, Berry & Sims PLC is pleased to announce that John S. Golwen has been appointed to serve as the managing partner of the firm's 51-person Memphis office. Golwen succeeds Richard R. Spore as managing partner, who served in the position for three years.

In a career spanning more than 25 years, Golwen has represented a variety of businesses and company executives in all types of business litigation and related disputes. Throughout his career, he has tried numerous cases in courts and arbitration tribunals around the country and he has argued many cases in front of the appellate courts in Tennessee and in federal courts of appeals. Golwen also is a certified Tennessee Supreme Court Rule 31 Mediator and regularly serves as a mediator in commercial litigation cases. Golwen earned his J.D. from Washington and Lee University School of Law (1990) and a B.A. from the College of William and Mary (1986).
