Mitch Walker practices in the Corporate and Securities Practice Area, where his work focuses on representation of companies and underwriters in public offerings and in mergers and acquisitions. Mr. Walker's practice focuses on the representation of publicly traded companies.  In that regard, Mr. Walker has extensive experience in the following areas:

Capital Formation.  Mr. Walker has worked with both issuers and underwriters on public offerings of both equity and debt securities.  He also assists his publicly traded clients on financings including credit facilities and asset securitizations.

Corporate Governance.  Mr. Walker regularly advises boards of directors or special committees with respect to corporate governance issues.  He has advised special committees on corporate restructurings; management led buy outs; and investigations of accounting irregularities.  Mr. Walker also advises the independent directors of a group of sixty-five mutual funds advised by one of the nation's largest investment advisory firms.

Mergers and Acquisitions.  Mr. Walker has represented clients with respect to a wide variety of merger and acquisition transactions.  He has represented large publicly traded corporations through both privately negotiated and auction process transactions.  He regularly advises his publicly traded clients on acquisitions or divestitures of operating subsidiaries or divisions.  His practice often includes coordinating an acquisition with raising the necessary capital to finance the purchase price.

Mr. Walker graduated from Harvard University (A.B., cum laude) and received his law degree from Vanderbilt University.  He was a Patrick Wilson Scholar In Law, a member of the Vanderbilt Law Review and was named to the Order of the Coif.  Mr. Walker is listed in Best Lawyers®, named one of Tennessee's leading corporate, M&A and securities lawyers by Chambers USA, and has been named one of the best securities lawyers in the state by Business Tennessee magazine since 2004.  He is also listed in the Lawdragon 3000 Leading Lawyers in America.
