Michael Holley joined Bass, Berry & Sims in June 2006 as an associate in the firm's Corporate and Tax Practices.

Corporate: Michael concentrates his corporate practice on structuring, negotiating and documenting complex business transactions, including venture capital and growth equity investments (initial and follow-on investments), mezzanine debt financings, equity financings, mergers and acquisitions and formation and governance of private equity funds. Michael represents both private equity fund sponsors and investors in private equity fund formations, fund-level restructurings and governance matters. Michael also routinely represents issuers and investors in venture capital and private finance matters.

Transactional Tax: Michael’s tax practice involves counseling clients on complex business transactions, including mergers, acquisitions, buyouts, joint ventures and strategic relationships, private equity and venture capital investing, formation of private equity funds, debt and equity restructurings and workouts.

Private Equity Representative Matters:
  • Multiple representations of private equity fund sponsors in fund formations
  • Ongoing representations of venture capital and private equity funds including initial investments in portfolio companies, follow-on investments and strategic exits from portfolio companies
  • Ongoing representations of start-up and emerging growth companies in capital transactions, including angel investor rounds, early stage venture capital investments, mezzanine financings and late stage venture capital rounds
  • Representation of private equity fund of funds: reviewing, negotiating and structuring its investment as a limited partner in various private equity funds

Michael graduated from the University of Mississippi in 2000 with a B.A. in classical studies. He received his J.D., summa cum laude, from the University of Mississippi School of Law in 2005, where he served as the executive editor of the Mississippi Law Journal. Michael received his LL.M. in taxation from New York University School of Law in 2006, where he served as a graduate editor of the Tax Law Review.
