Mike Carr is an associate in the firm’s Corporate and Securities Practice. He focuses on advising clients in transactional, corporate governance and securities law matters.
Mike’s transactional practice includes representation of public and private companies in mergers and acquisitions, equity offerings and venture capital financing. He also regularly advises clients in general corporate governance matters, including fiduciary duties, securities law reporting, regulatory compliance, public company disclosure and investor relations matters.
Mike has represented companies in initial public offerings; follow-on offerings and shelf takedowns of various types of debt and equity securities; as well as investors and issuers in early, seed and follow-on venture capital financing transactions. He has significant experience relating to preparing and reviewing disclosure of compensation arrangements under the federal securities laws, including under proxy, Section 16 and ’34 Act rules, and advises clients on aspects of equity-based compensation arrangements, employment agreements, executive and director compensation arrangements and executive retention and non-competition agreements. Mike’s representation of both start-ups and established public companies covers a range of industries, including healthcare, media, food service, technology and manufacturing as well as private equity and venture capital investment funds and their portfolio companies.
Mike received his J.D. magna cum laude from The University of Mississippi School of Law in 2008. While in law school, he was awarded the Outstanding Student Award for Health Law, received the Mississippi Bar Business Law Section Award and served as executive editor of the Mississippi Law Journal.
A native of Clarksdale, Mississippi, Mike graduated from The University of Mississippi with a Bachelor of Accountancy in 2001 and a Master of Taxation in 2002. Prior to law school, Mike worked for PricewaterhouseCoopers LLP as a senior accountant in the tax department.
Mike is married to Jennifer and has two boys, Grayson and Hayden.
