Megan joined Bass, Berry & Sims PLC in 2010 as an associate in the Corporate and Securities Practice.
Megan’s practice focuses on public equity offerings for issuers and underwriters, as well as counseling corporations regarding compliance with the registration and disclosure requirements of the Securities and Exchange Commission. She also works with clients on a variety of corporate governance matters.
Representative Matters:
- Issuer’s counsel for follow-on debt offering during 2010 for a New York Stock Exchange traded company involving aggregate proceeds of approximately $495 million.
- Underwriters' counsel for follow-on public offerings of a publicly traded business development company during 2011. Underwriters represented include Morgan Keegan & Company, Inc., BB&T Capital Markets, a division of Scott & Stringfellow, LLC, Robert W. Baird & Co. Incorporated, Janney Montgomery Scott LLC and Sanders Morris Harris Inc.
- Underwriter’s counsel for initial public offering of a publicly traded business development company during 2011 with aggregate proceeds of approximately $65 million. Underwriters represented include Morgan Keegan & Company, Inc., Robert W. Baird & Co. Incorporated, BB&T Capital Markets, a division of Scott & Stringfellow, LLC and Oppenheimer & Co. Inc.
- Issuer’s counsel for initial public offering for a Real Estate Investment Trust (REIT) during 2011.
- Provides corporate governance advice and SEC compliance and disclosure advice to two REITs listed on the Securities and Exchange Commission.
Megan is a member of the American Bar Association and is also an active member of the Memphis/Shelby County Foster Care Review Board. Pursuant to state and federal law, Foster Care Review Boards are composed of citizen volunteers who review Foster Care plans provided by the Department of Children’s Services to assure that children in state custody achieve a safe and permanent home as soon as possible.
Megan earned her B.A., summa cum laude, from Furman University in 2007 and her J.D., magna cum laude, from Wake Forest University School of Law in 2010. Upon graduation, Megan was asked to become a member of the Order of the Coif. While in law school, she was a member of the Moot Court Board and worked as a legal research and writing teaching assistant in addition to serving as the senior articles editor on the Wake Forest Law Review. While in law school, Megan received the CALI award in Securities Regulation, Business Drafting and Legal Research and Writing II, among others. Megan also was awarded best brief in the Fall 2008 Wake Forest Moot Court Competition and she competed in the national Ruby R. Vale Corporate Law Moot Court Competition.
