We have extensive experience in mergers, acquisitions and joint ventures involving long-term care and senior living companies. We have significant capacity and deal flow which gives us keen insight into due diligence, valuation and risk.

Healthcare

We provide comprehensive services to long-term care and senior living companies ranging from ongoing operational matters and regulatory compliance issues to government investigations and licensure. Our attorneys routinely counsel clients on matters involving assisted living facilities, skilled nursing facilities, independent living facilities, continuing care retirement communities, infusion, home health, rehabilitation and hospice care.

Financing

We represent long-term care and senior living companies in their relationships with banking institutions, insurance companies, REITs and other institutional lenders in a variety of financing transactions. Our commercial lending and healthcare attorneys provide an integrated approach to matters involving healthcare finance with a sophisticated transactional and regulatory experience.

We help navigate the unique healthcare challenges associated with real estate transactions by drawing on our experience in licensing, reimbursement, fraud and abuse and accessibility issues, and other specialized aspects of transactions involving healthcare real estate.

Labor and Employment

We are particularly attentive to employment issues unique to the long-term care and senior living industry, including the classification of employees as exempt or non-exempt (and exemptions applicable to home health aides), the management of overtime, employee versus independent contractor issues, unionization issues in the healthcare setting, specialized issues arising out of whistleblower investigations and wrongful termination claims.

Intellectual Property and Technology

We counsel and assist long-term care and senior living companies with their intellectual property and technology needs through every stage of their business development, including the acquisition and delivery of financial and clinical information systems. We routinely assist with the negotiation of software and technology development, licensing and outsourcing arrangements.

Litigation

Our attorneys have extensive experience representing and defending healthcare companies in investigations by federal and state authorities, including the United States Department of Justice, the Federal Bureau of Investigation, the Department of Health and Human Services Office of Inspector General and the Tennessee Bureau of Investigation. We have also defended clients in whistleblower cases, as well as securities, ERISA and other civil cases resulting from such investigations. We successfully represented one of the nation’s leading long-term care providers in litigation involving 32 consolidated lawsuits arising out of a nursing home fire in a multi-story facility.
