Lori Morgan is practice leader of the Joint Ventures specialty group. Lori’s practice focuses on formation and operation of joint ventures, public equity and debt offerings, and mergers and acquisitions of both public and private acquirors and targets. She also counsels clients on general corporate and securities matters, including corporate governance and public company disclosure.

Corporate Finance: Lori has assisted issuers and underwriters or financial advisers in connection with registered public offerings of equity and debt securities, Rule 144A offerings, private placements and venture capital investments. She recently represented Gaylord Entertainment Company (NYSE: GET) in a concurrent public offering of common stock and a Rule 144A private offering of convertible debt securities with a related call-spread transaction, and a tender offer for existing senior notes.

Mergers and Acquisitions: Lori has represented public and private company clients in a variety of acquisitions of public and private targets, including the representative matters listed below.

Joint Ventures: Lori has represented clients on joint ventures in the real estate, hospitality, healthcare and retail sectors. Her experience includes formation and ongoing operation of joint ventures in a variety of structures, as well as financings and restructurings for joint ventures.

Representative Experience:
  • Representing NYSE-listed company in Rule 144A offerings of debt securities and convertible debt securities;
  • Representing NYSE-listed company in hotel joint ventures;
  • Representing national lifestyle center developer in numerous joint ventures with financial and/or landowner venture partners;
  • Representing a Nasdaq-listed issuer in its initial public offering of common stock and subsequent merger with a Nasdaq-listed company;
  • Representing the special committee of the board of an NYSE-listed issuer in the sale of properties to a newly formed REIT and subsequent merger with a REIT;
  • Representing a Nasdaq-listed issuer in follow-on and selling shareholder equiry offerings;
  • Representing public companies in sales and acquisitions of assets and companies in the hotel, music publishing, retail, resort management, healthcare and restaurant sectors; and
  • Representing private companies in acquisitions and sales in the manufacturing, training/consulting, and healthcare and real estate sectors, including transfers of distressed assets in and out of bankruptcy.

Prior to joining the firm, Lori practiced in Birmingham at Bradley Arant. Lori’s interests include travel and gardening.
