John Good is a Member and former Managing Partner of the firm's Memphis office, having founded the office in May 1999.  He currently serves on the firm's Executive Committee.  His practice is focused on securities offerings and other corporate finance matters, mergers and acquisitions, corporate governance and general representation of public and private companies and underwriters.  John's industry expertise includes REITs and other real estate companies, financial institutions, business development companies and closed-end investment companies.  Representative transactions include:

Securities Offerings
  • Underwriters counsel in 2008 on offerings aggregating approximately $130 million for Gladstone Capital Corporation and MCG Capital Corporation.  Lead managing underwriters included Deutsche Bank Securities and JPMorgan.
  • Underwriters counsel in 2007 on offerings aggregating approximately $300 million for Gladstone Capital Corporation, MCG Capital Corporation, Prospect Capital Corporation and Main Street Capital Corporation.  Lead managing underwriters represented included Deutsche Bank Securities, Friedman Billings Ramsey, Robert W. Baird, Ferris Baker Watts and Morgan Keegan.
  • Issuer's counsel in $60 million initial public offering of common stock of Triangle Capital Corporation, a NASDAQ-listed specialty finance company, in February 2007, lead managed by Morgan Keegan & Company, Inc., and related rollup of Small Business Investment Company owned by 34 community banks.
  • Underwriters counsel in $360 million initial public offering of common stock of Education Realty Trust, Inc., a NYSE-listed student housing REIT, in January 2005, co-lead managed by JP Morgan and UBS Securities and $200 million initial public offering of common stock of Columbia Equity Trust, Inc., a NYSE-listed office REIT, in June 2005, lead managed by Wachovia Securities, resulting in Bass, Berry & Sims being recognized by The American Lawyer as the #4 nationally-ranked underwriters counsel for REIT offerings in 2005.
  • Underwriters counsel in $181 million initial public offering of common shares of Dividend Capital Income Allocation Trust, a NYSE-listed closed-end investment company, in February 2005, lead managed by Morgan Keegan.

M&A Transactions
  • Representation of special committee of board of directors of Quadra Realty Trust, Inc. in connection with acquisition by Hypo Real Estate Group in transaction valued at $650 million.
  • Representation of National Commerce Financial Corporation in connection with merger with SunTrust Banks, Inc. in transaction valued at $7 billion.
  • Representation of National Commerce Financial Corporation in connection with eight separate merger and acquisition transactions having an aggregate transaction value in excess of $2.5 billion.
  • Representation of Mid-America Apartment Communities, Inc. in connection with acquisition of Flournoy Development Company in transaction valued at $450 million.

John is active in the American Bar Association as a member of the Business Law Section, the Corporate Governance Committee and its Governance Standards Subcommittee, the Federal Regulation of Securities Committee and its Securities Registration and NASD Corporate Financing Rule Subcommittees.  He is also a member of the Government Relations Committee of the National Association of Real Estate Investment Trusts.  He has been listed in The Best Lawyers in America®  since 2000, and has been named one of the best lawyers in Tennessee each year by Business Tennessee magazine since 2004.  He was recognized as one of the Lawdragon 500 Dealmakers in 2007.  John is an adjunct professor of law at the University of Memphis School of Law where he teaches a course on Securities Regulations.  He is also a member of the Boards of Trustees of The Hutchison School and Crichton College in Memphis.

John received his B.B.A. degree, magna cum laude, from the University of Memphis.  He was licensed as a certified public accountant in 1981.  After practicing for approximately five years in the tax department of a regional CPA firm, John obtained his J.D., with honors, from the University of Memphis.
