John Fuller is an associate in the firm’s Corporate and Securities Practice. His practice focuses on advising clients in transactional, corporate governance and securities matters. John’s transactional practice includes representation of public and private companies in mergers and acquisitions, venture capital financing and fund formation. He also regularly advises clients in general corporate governance matters, including fiduciary duties, securities law reporting and regulatory compliance and public company disclosure. He has represented both start-ups and established public companies across a range of industries including healthcare, media, food service, technology and manufacturing as well as private equity and venture capital investment funds and their portfolio companies.
Representative Merger and Acquisition Transactions and Experience:
- Represented a privately-held healthcare technology company in a $104 million merger acquisition of an electronic pharmacy services provider
- Represented a private equity-backed portfolio company in a $67 million stock sale to a private equity group
- Represented an NYSE-listed healthcare technology company in a $25 million acquisition of a healthcare consulting provider
- Represented an NYSE-listed healthcare technology company in a $27 million acquisition of a payment integrity technology provider
- Represented an NYSE-listed healthcare technology company in a $260 million merger acquisition of a healthcare eligibility service provider
- Represented a venture-backed privately-held managed care company in a $125 million merger transaction with an NYSE-listed health and well-being company
- Represented a family owned manufacturing company in a $425 million stock purchase transaction with an NYSE-listed global manufacturer
- Has represented clients in numerous private equity-backed purchase and sale transactions, including both leveraged and management buy-outs across a variety of industry platforms
Representative Venture Capital Transactions and Experience:
- Regularly advises both investors and issuers in early, seed and follow-on venture capital financing transactions
- Represented a privately-held media company in a capital restructuring and venture financing transaction
- Represented a venture-backed shell-company in a $33 million acquisition of a payment processing provider
- Represented the lead venture capital investor in an $8 million Series A investment in a telemedicine provider
- Regularly represents venture-backed companies in corporate governance, securities and investor relations matters
- Has represented numerous participants in the TNInvestco Program
John received his law degree magna cum laude with a concentration in business transactions from The University of Tennessee College of Law.
A native of Jackson, Mississippi, John received a B.A. magna cum laude in English from The Sally McDonnell Barksdale Honors College at The University of Mississippi. He studied abroad at the University of Cambridge.
John is married to Whitney and has one daughter, Virginia Wynn. In his free time, he enjoys the outdoors, reading fiction and walking his family's golden retriever, Mr. Barnes.
