Helen Woodyard Brown joined Bass, Berry & Sims PLC in the firm's Corporate and Securities Practice in September 2002. Helen’s practice focuses on public equity offerings for both issuers and underwriters, as well as counseling corporations regarding compliance with the registration and disclosure requirements of the Securities and Exchange Commission. She also works with clients on a variety of corporate matters including mergers and acquisitions, private placements of securities and corporate governance.

- Issuer’s counsel for 21 public offerings since 2005 for various Real Estate Investment Trusts (REITs) and business development companies (BDCs) involving proceeds of more than $2.6 billion.
- Underwriters' counsel for 25 public offerings since 2005 for various REITs and BDCs involving proceeds of more than $1 billion. Underwriters represented included Deutsche Bank Securities, JP Morgan, UBS, Wachovia Securities, SunTrust Robinson Humphreys, Robert W. Baird, Morgan Keegan & Company, Inc., BB&T Capital Markets, Janney Montgomery Scott, Ladenburg Thalmann & Co. Inc., and Madison Williams and Company LLC.
- Issuer’s counsel and underwriters' counsel for at-the-market offering programs established for various publicly traded REITS involving proceeds of more than $290 million since 2006.
- Representation of special committee of board of directors of Quadra Realty Trust, Inc. in connection with acquisition by Hypo Real Estate Group in transaction valued at $650 million in 2008.
- Issuer’s counsel in $60 million initial public offering of a Raleigh, North Carolina based BDC during 2007 and related rollup of Small Business Investment Company owned by 34 community banks.
- Underwriters' counsel for initial public offerings of various closed-end investment companies involving aggregate proceeds over $ 1 billion between 2003 to 2006.
- Representation of National Commerce Financial Corporation in connection with merger with SunTrust Banks, Inc. in transaction valued at $7 billion.
Helen graduated summa cum laude in May 2002 from the University of Arkansas School of Law, where she was the president of Phi Delta Phi and note and comment editor for the Arkansas Law Review. Helen graduated cum laude from the University of Arkansas in 1999, where she was an American National Scholar and in the National Dean's and the University of Arkansas Dean’s Lists. Additionally, Helen was named a Fulbright Senior Scholar, a member of Phi Beta Kappa and Mortar Board.
Helen is a member of the American, Arkansas, Tennessee and Memphis Bar Associations and National Association of Real Estate Investment Trusts. She is admitted to practice in Arkansas and Tennessee.
