Felix Dowsley joined Bass, Berry & Sims in 1984 and became a Member of the firm in 1990. His practice is transactional in nature, focusing on commercial lending, secured transactions, real estate and general commercial law. Felix spends a majority of his time in the negotiation and documentation of a variety of financing and real estate transactions, including asset-based financings, syndicated revolving credit and term loan facilities, mezzanine and subordinated loans, construction loans and work-outs and restructures of credit facilities, as well as the sale and leasing of commercial real estate. Felix also serves on the firm's Executive Committee.
His legal experience includes:
- Representing a public hospitality company in a $600 million revolving credit and term loan facility
- Representing the agent bank in a syndicated $60 million and €26,000,000 revolving credit and term loan facility for a public manufacturing company with operations in the United States and Europe
- Representing a public company that owns a national chain of restaurants in a $125 million revolving credit facility
- Representing mezzanine lenders in subordinated loan transactions, including structuring equity participations and intercreditor arrangements with senior lenders
- Representing a variety of borrowers (both public and private entities) in corporate financings, including syndicated senior revolving credit and term loan facilities, both secured and unsecured, and real estate financings
- Representing lessors and lessees in a variety of commercial lease transactions
- Representing sellers and buyers in the sale and purchase of commercial real estate
- Serving as local counsel in numerous multi-state commercial lending and real estate transactions
- Representing creditors and borrowers in troubled loan transactions, including work-outs and foreclosures.
Born and raised in Humboldt, Tennessee, Felix graduated from the University of Tennessee in 1981 with a degree in finance. In 1984, Felix received his law degree from the University of Tennessee College of Law, where he was a member of the Tennessee Law Review and the Order of the Coif. He is listed in The Best Lawyers in America® and has been named one of Tennessee's leading real estate lawyers since 2003 by Chambers USA.
