We counseled a committee of independent directors of Telephone & Data Systems, Inc. in connection with threatened and actual proxy contests by both Southeastern Asset Management (SAM) and GAMCO Asset Management, Inc. (GAMCO), respectively, and various governance and other shareholder proposals by SAM. We advised the Independent Directors in connection with a negotiated settlement agreement with GAMCO relating to the proxy contest.
