Envision to Sell to KKR for $9.9 Billion

We represented Envision Healthcare Corporation (NYSE: EVHC) in its definitive agreement to sell to KKR in an all-cash transaction for $9.9 billion, including debt. KKR will pay $46 per Envision share in cash to buy the company, marking a 32 percent premium to the company's volume-weighted average share price from November 1, when Envision announced it was considering its options. The transaction is expected to close the fourth quarter of 2018. Read more

CON Approved for Tennessee Oncology

Bass, Berry & Sims served as lead counsel to Tennessee Oncology PLLC in its efforts to obtain a Certificate of Need (CON) to initiate state-of-the-art positron emission tomography (PET) services at a new practice location in fast-growing Williamson County, Tennessee. The project was unanimously approved by state regulators. PET is the key diagnostic tool used in oncology today. Tennessee Oncology's new PET service will work in close collaboration with the Scott Hamilton Proton Therapy Center now under construction on an adjacent site. 

Founded 40 years ago, Tennessee Oncology PLLC has grown to become one of the largest oncology medical groups in the United States. Its physician specialists deliver high quality patient care at dozens of practice locations and hospitals throughout the state.
