Executive Compensation

Members of our Executive Compensation Practice Group recognize that compensation programs need to be designed to attract and retain key executives in a manner that appropriately balances the interests of employers, equity stakeholders and executives. By taking a multidisciplinary approach, we counsel clients in tax, corporate governance, SEC disclosure, employment and other areas of law impacting executive compensation. Our attorneys provide advice to individual executives, boards of directors, management teams, large public companies, private companies of all sizes, private equity and venture capital funds, financial institutions and tax-exempt organizations. We advise these clients on the complete range of compensation arrangements both in a regular advisory role and in extraordinary corporate events, such as mergers and acquisitions and initial public offerings.

On behalf of our public company clients, we provide legal advice on the disclosure requirements applicable to executive and director compensation and related party transactions. As a result of our role as regular advisors to numerous public companies and our involvement in important and influential associations of national practitioners and publishers in this area of law, we are able to provide our clients with valuable information on best practices, developments and trends in executive compensation.

We have significant experience advising clients with respect to the design, implementation, tax and financial impact, and legal traps to avoid related to all types of compensation arrangements, including the following:
  • Equity incentive plans and awards;
  • Supplemental executive retirement plans and other non-qualified deferred compensation plans;
  • Phantom stock plans;
  • Cash incentive/performance plans and programs;
  • Executive employment agreements;
  • Severance agreements and policies.

In addition, we often advise companies, management teams and private equity funds with respect to the design, negotiation, and implementation of complex management incentive compensation programs which are adopted in connection with the formation of private equity funds and the acquisition of portfolio companies by those funds.
