Envision to Sell to KKR for $9.9 Billion

We represented Envision Healthcare Corporation (NYSE: EVHC) in its definitive agreement to sell to KKR in an all-cash transaction for $9.9 billion, including debt. KKR will pay $46 per Envision share in cash to buy the company, marking a 32 percent premium to the company's volume-weighted average share price from November 1, when Envision announced it was considering its options. The transaction is expected to close the fourth quarter of 2018. Read more

Bass, Berry & Sims attorney Brian Bewley will co-present with Nancy Brown, Senior Counsel at the Office of Counsel to the Inspector General, US Department of Health and Human Services, and Kathleen Hessler, Director of Compliance and Risk at Simione Healthcare Consultants, at the American Health Lawyers Association's (AHLA) Annual Meeting. The session titled, "Compliance Climate 2018: Hone into Home Health and Hospice" will include the following topics:

  • The current home health and hospice compliance climate including updates on case law such as Aseracare and other new case law or regulatory developments shaping compliance processes in post-acute care agencies 
  • How to structure a firm foundation for post-acute care agency compliance effectiveness
  • Lessons learned from recent corporate integrity agreements (CIAs) and practice tips to evolve your agency compliance program, including tips about working with governing boards, human resources, marketing, and clinical and billing teams
