Bass, Berry & Sims attorney Leigh Walton will co-chair Negotiating Business Acquisitions 2014 hosted by the American Bar Association. On Thursday, November 14 at 11 a.m., she will speak on a panel about “Negotiating the Acquisition Agreement,” which will address the negotiation and drafting of purchase price provisions, critical representations and warranties, closing conditions and indemnification provisions and the interplay among these key provisions. Later on Thursday, Leigh will speak on a panel titled, “Special Issues in Asset Acquisitions” about successor liability, stockholder approval and fraudulent transfers. On Friday, November 15 at 1 p.m., Leigh will speak about metrics and techniques for valuing companies, “earn-out” pricing structures and post-closing price adjustment mechanisms on the “Valuation and Purchase Price-Related Issues” panel.
The National Institute will be held November 13-14, 2014 at Wynn Las Vegas and Encore Hotel in Las Vegas.
