Envision to Sell to KKR for $9.9 Billion

We represented Envision Healthcare Corporation (NYSE: EVHC) in its definitive agreement to sell to KKR in an all-cash transaction for $9.9 billion, including debt. KKR will pay $46 per Envision share in cash to buy the company, marking a 32 percent premium to the company's volume-weighted average share price from November 1, when Envision announced it was considering its options. The transaction is expected to close the fourth quarter of 2018. Read more

Bass, Berry & Sims attorney Danielle Sloane will present "ACO Legal Traps that Can Cost You Dearly" with Corey Feist, Chief of Staff and General Counsel of the UVA Physicians Group at the ACO Financial Management Summit. The conference, hosted by the Healthcare Education Associates, will be held on Tuesday, June 24.

There are now more than 350 Accountable Care Organizations in the United States. As the changing landscape of healthcare poses both great opportunities and risks, industry leaders will meet to discuss financial infrastructure and legal implications.

Danielle Sloane will rely on her robust experience in compliance and regulatory matters and healthcare fraud and abuse as she weighs in on regulation of various types of ACOs, waivers that can shield hospitals and physicians from the legal risks associated with ACO formation, legal traps, and applicable laws to revenue refunding sources.
