Dan practices in the areas of securities regulation, corporate governance, and mergers and acquisitions. He has represented companies at various stages of the business life cycle in a broad range of industries, including medical device, pharmaceutical, aviation, technology and retail. Dan regularly counsels public companies on Exchange Act reporting, shareholder communications, corporate governance, executive compensation and Section 16 reporting. He also represents public and private clients in their acquisition and disposition transactions.

Representative Securities Transactions:
  • Representation of non-traded equipment leasing fund in its $150 million direct public offering
  • Representation of OTC-traded issuer in its $5 million registered direct public offering, $30 million equity line of credit, and $10 million convertible preferred stock offering
  • Representation of OTC-traded issuers in several PIPE transactions totaling more than $25 million
  • Representation of biomedical venture capital funds in their portfolio investments

Representative Mergers & Acquisition Transactions:
  • Representation of NASDAQ-listed software company in its $12 million tender offer for all outstanding shares of its publicly-traded affiliate
  • Representation of NASDAQ-listed non-standard insurer in its sale to private equity consortium with a transaction value of over $630 million
  • Representation of privately-held services conglomerate in its sale of an operating division
  • Representation of NYSE-listed bank holding company in the sale of its credit card processing division with a transaction value of over $400 million

Prior to joining Bass, Berry & Sims’ Nashville office in 2011, Dan practiced in the Memphis office of Baker, Donelson, Bearman, Caldwell & Berkowitz. In 2005, Dan earned his J.D., magna cum laude, from The University of Memphis, Cecil C. Humphreys School of Law where he served as the notes and comments editor of the University of Memphis Law Review. He received a B.S. in Business Administration, cum laude, from the University of Tennessee, Knoxville in 2002.
