Cindy Sellers is a member of the firm and past Chair of the Business Development Committee. Cindy’s practice focuses on financial transactions, representing banks, private and public companies and investors in a variety of transactions, including syndicated senior credit facilities, mezzanine finance deals, asset based loans and real estate-based corporate financings.

Healthcare Finance: Cindy has a broad range of experience in healthcare finance, partnering with her healthcare colleagues to bring a depth of understanding and practical approach to finance matters uniquely effecting regulated borrowers.

Large Corporate Finance: Cindy has over 20 years of experience working on syndicated credit facility transactions, representing both the Administrative Agent and the borrower, bringing an understanding of what is important to both parties and why.

Representative Matters Include:
  • Representation of agent bank in connection with a secured syndicated financing to a large managed care company with operations in several states.
  • Representation of Genesco, Inc. and management of the simultaneous closing of two secured credit facilities, one in the United States and one in Europe. The United States facility was a $405 million syndicated credit facility.
  • Representation of agent bank in connection with a senior secured syndicated financing to a behavioral health services company for a large acquisition involving complicated equity and subordinated debt components.
  • Representation of senior lender in a credit facility for a hospital management company to acquire several hospitals in the northeast.
  • Representation of a financial institutional in the workout of several real estate-based loans and the disposition of the collateral securing those loans

Prior to joining the firm, Cindy was a member of Farris, Warfield & Kanaday, which is now Stites & Harbison, and served as service group leader of its Nashville finance and real estate group. After practicing there for 19 years, Cindy joined the in-house legal staff of Bank of America as assistant general counsel in 2004. At Bank of America, Cindy was responsible for supporting Tennessee, Georgia and the Northeast in all aspects of real estate lending and mezzanine financing.

Originally from Murfreesboro, Tennessee, Cindy graduated from Meredith College in 1982 and received her law degree from University of Tennessee College of Law in 1985. Cindy is a fellow of the Nashville Bar Foundation and is listed in Best Lawyers®, Chambers USA and the Nashville Business Journal's Best of the Bar. She is on the Alumni Advisory Council of the University of Tennessee College of Law and is a past board member of Mid-South Commercial Law Institute, Nashville City Club and FirstSteps.
