On December 1, 2016, Parker Hannifin Corporation and CLARCOR Inc. announced that the companies have entered into a definitive agreement under which Parker will acquire CLARCOR for approximately $4.3 billion in cash, including the assumption of net debt. The transaction has been unanimously approved by the board of directors of each company. Upon closing of the transaction, expected to be completed by or during the first quarter of Parker’s fiscal year 2018, CLARCOR will be combined with Parker’s Filtration Group to form a leading and diverse global filtration business. Bass, Berry & Sims has served CLARCOR as primary corporate and securities counsel for 10 years and served as lead counsel on this transaction. Read more here.

Associate — Corporate & Securities

Our Corporate & Securities Practice Group is comprised of various specialized areas, including Corporate Finance, Corporate Governance, Financial Institutions, Mergers & Acquisitions, Private Equity, Securities Offerings, Executive Compensation, Shareholder Activism and more. Associates in these practice areas have the opportunity to work in a wide variety of areas, including public company representation, public and private equity and debt securities offerings as both issuer's and underwriter's counsel, mergers and acquisitions, including going private transactions, venture capital financings and corporate governance matters.

We are seeking highly qualified candidates for our Nashville office with two-to-five years of sophisticated corporate experience for our Corporate & Securities Practice Group. Mergers and acquisitions experience and some exposure to public company representation is preferred. In addition, candidates must have a strong academic record, paired with the skills, enthusiasm and commitment to become a partner of our firm. Associate — Healthcare

Our Healthcare Practice Group is a broad, integrated and interdisciplinary team of attorneys that bring together the multitude of legal specialties necessary to service one of the largest, most highly-regulated industries in the United States. We represent a variety of healthcare providers including hospitals and health systems, ancillary service providers, large physician groups, long-term care providers, and disease management companies. Associates in our Healthcare Practice will have the opportunity to work in a wide variety of areas, including M&A, dispositions, joint ventures, contracting, regulatory and operational matters, compliance and more.

Our Nashville office is seeking a mid-level associate with at least four years of healthcare regulatory and transactional experience. Experience with managed care clients is a plus. In addition, candidates must have a strong academic record, paired with the skills, enthusiasm and commitment to become a partner of our firm. Associate — Employee Benefits

Bass, Berry & Sims has one of the most experienced and sophisticated Employee Benefits practices in the Southeast. We partner with public and private employers, benefits consultants and third party administrators in the design, drafting, implementation, and administration of a comprehensive range of employee benefits plans. Our attorneys also: (i) provide ERISA fiduciary guidance and guide employers through the changing landscape of employer-sponsored health plans; and (ii) provide employee benefits expertise in mergers and acquisitions and with respect to executive compensation.

Our Nashville office is seeking an attorney with at least two years of solid ERISA and employee benefits experience. Experience with executive compensation is helpful, but is not required. Consideration will be given to candidates with an LLM in Tax. Successful candidates will have a demonstrated interest in working in a highly collaborative environment that encourages associates to work directly with clients. In addition, candidates must have a strong academic record, paired with the skills, enthusiasm and commitment to become a partner of our firm.
