Envision to Sell to KKR for $9.9 Billion

We represented Envision Healthcare Corporation (NYSE: EVHC) in its definitive agreement to sell to KKR in an all-cash transaction for $9.9 billion, including debt. KKR will pay $46 per Envision share in cash to buy the company, marking a 32 percent premium to the company's volume-weighted average share price from November 1, when Envision announced it was considering its options. The transaction is expected to close the fourth quarter of 2018. Read more

Our Specialty Pharmacy and Pharmaceuticals Practice is one of the largest in the country. Led by industry veterans who have experience as both in-house general counsel and outside counsel for national pharmacy, pharma service and pharmacy benefit management companies, our multi-disciplinary team serves as operational and transactional counsel to a majority of the nation's largest specialty pharmacies. We are regularly engaged in significant transactions in and provide practical business advice and legal guidance to help with trade and distribution matters facing clients within the pharmaceutical industry. Day-to-day, we assist clients in navigating and complying with the contractual, regulatory and operational requirements unique to the pharmaceutical industry, and we lead clients in audits and compliance reviews.

Our firm is seeking an accomplished attorney with three to five years of experience for our Memphis or Nashville office. Our Labor & Employment Practice Group counsels employers in labor and employment matters in three broad categories: day-to-day employment counseling, training and auditing; employment litigation; and traditional labor law. Our experienced Intellectual Property litigation team handles an array of IP disputes for market leaders, fast-growing startups and individual innovators across many industries and a broad range of technologies at the bargaining table and at trial. Our IP litigation team regularly represents clients in federal and state courts, at both the trial and appellate level, as well as before the U.S. Patent and Trademark Office (USPTO), the U.S. International Trade Commission, and the American Arbitration Association. Our IP litigators consistently have been successful in the federal courts where IP disputes are most often litigated, including appearances in more than 15 U.S. District Courts during the last five years.

Our Intellectual Property practice group is seeking an experienced patent litigation attorney to join our growing patent team in the Washington, D.C. office. Successful candidates will have a minimum of two years of experience practicing in United States district and appellate courts. Attorney must be admitted to the USPTO. A technical background in mechanical engineering is preferred. Attorney should be able to work both independently and in a team environment with instruction from more senior attorneys.
