Business Disputes

Business disputes cause major interruptions in productivity, and need to be resolved efficiently and effectively by sophisticated attorneys who can get clients back to business. While we are aggressive litigators, we know that reaching the best outcome for our clients involves skillful negotiation and efforts to avert expensive litigation. The attorneys on our Business Disputes team are business lawyers who have extensive experience resolving disputes for clients, local, national and international, in a wide range of industries, from manufacturing to service-providers, and quickly understand the nuances and complexities of our clients’ business.

Transactional Disputes

Our attorneys are experienced in both prosecuting and defending breach of contract actions for numerous types of businesses operating in a wide array of industries. We also actively represent business clients in disputes arising from the sale of goods governed by the Uniform Commercial Code. Our representation in these disputes includes, for example, clients conducting business in the financial, manufacturing, real estate, retail, service, technology, healthcare, logistical and agricultural business sectors.

Business Divorces

We routinely handle disputes among owners of corporations, limited liability companies, limited partnerships, general partnerships and other business entities. These disputes include shareholder derivative actions, dissolution actions, receiverships, breach of fiduciary duty claims, and director and officer liability. Our experience includes disputes involving family-owned businesses, closely-held companies, large private companies, and publicly held corporations.

Bass, Berry & Sims attorney Richard Spore recently published a volume on business divorces for the American Bar Association. To order a copy of The Guide to Business Divorce, click here.

Business Torts

An extensive part of our practice is the handling of commercial tort actions such as procurement of breach of contract, tortious interference with business relations, interference with contracts, misappropriation of trade secrets, and breach of restrictive covenants. We are experienced in defending and prosecuting business claims for money damages, as well as those for extraordinary relief, such as restraining orders, injunctions, declaratory judgments and rescission.
