Brandi’s practice focuses on general corporate and securities law, mergers and acquisitions, public and private securities offerings, corporate governance and the representation of public and private companies on a variety of ongoing matters.
Mergers and Acquisitions: Brandi provides a broad range of corporate legal services for both public and private company clients, including drafting, updating and reviewing a variety of company contracts, corporate governance documents, purchase and sale agreements and various U.S. Securities and Exchange Commission filings. She also oversees the issuance and transfer of company securities as well as drafts corporate communications, marketing materials and operational communications.
Corporate Finance: Brandi has assisted clients in connection with public debt offerings, private placements of equity and debt and syndications.
Corporate Governance: Brandi has advised public company clients on a variety of corporate governance matters, including compliance with federal securities laws requirements, compliance with stock exchange corporate governance listing standards, creation of committee charters and corporate governance guidelines, board and committee composition issues, Regulation FD, insider trading policies and 10b5-1 trading plans.
Securities Regulatory Filings and Compliance: In addition to assisting clients with securities offerings as noted above, Brandi also regularly advises public company clients in connection with their preparation of Forms 10-K, 10-Q, 8-K, proxy statements and earnings releases.
Healthcare: Brandi has represented hospitals, surgery centers, behavioral health facilities and other healthcare companies in connection with acquisitions, joint ventures and securities offerings, including representing companies in connection with syndications of hospitals.
Prior to joining the firm, Brandi graduated from Tulane University, A.B. Freeman School of Business, in 2001 with a B.S.M. in Finance. Upon graduation, Brandi worked as a Financial Analyst in the Risk Management Department for Reliant Resources in Houston, Texas. Brandi received her J.D. in May 2006 from the Vanderbilt University Law School. While in law school, Brandi was on the Dean's List. She received the Vanderbilt Scholastic Excellence Awards in Corporate Governance and Advanced Accounting for Mergers & Acquisitions. Brandi was an executive board member of Women in Law, president of the Transfer Students Organization and authorities editor for the Journal of Transnational Law.
