Allen Overby is a Member in the firm's Corporate and Securities Practice and currently serves as co-chair for the firm's Compliance and Government Investigations Group. He concentrates his practice in the representation of publicly-traded and significant private companies in connection with a broad range of transactional, corporate governance and securities regulation matters. Allen joined the firm in 1996. Prior to joining the firm, Allen served as an attorney at the Securities and Exchange Commission in Washington, D.C.

Corporate and Securities: Allen has represented a broad range of public and private companies in connection with merger and acquisition transactions, as well as securities offerings, and other financing transactions. Allen has advised clients on a wide range of disclosure, executive compensation and corporate governance matters. His corporate governance practice includes working with boards of directors and their committees.

Regulatory and SEC Enforcement: Allen’s regulatory experience includes representing companies under investigation by the Securities and Exchange Commission and state and other regulators. Allen has also conducted internal investigations and worked with audit and special committees with respect to such matters.

  • HCA Inc. (NYSE: HCA) in connection with two issuer tender offers to repurchase $3.9 billion of common stock
  • New York Stock Exchange regulatory audit pursuant to an SEC administrative order
  • Intergraph Corporation (NASDAQ: INGR) in connection with its $1.3 billion sale to Hellman & Friedman LLC and Texas Pacific Group and its subsequent $2.1 billion sale to Hexagon AB
  • National Medical Health Card Systems, Inc. (NASDAQ: NMHC) in its $143 million sale to SXC Health Solutions Corp. (NASDAQ: SXCI)
