Mr. Overby is a Member in the firm's Corporate and Securities Practice Area.  He concentrates his practice in the representation of publicly traded companies and serves as co-chair of the firm's regulatory, corporate compliance and investigations group.  Prior to joining the firm, Allen served as an attorney at the Securities and Exchange Commission in Washington, D.C.

Allen advises clients on a wide range of securities regulation and corporate governance matters.  He works with issuers on public and private offerings of equity and debt securities, and other financings.  Allen also assists clients with a broad range of public and private company merger and acquisition transactions.  Allen has also worked with special committees, conducted internal investigations and defended clients under investigation by the Securities and Exchange Commission and state and other regulators. 

Allen has spoken on a variety of topics and has participated on the Nashville panel of KPMG's Audit Committee Institute Roundtable Series and the Midwest-Midsouth Securities Law Conference.  Allen serves on the planning committee of the Nashville Summer Business Camp (which allows area high school students to structure and negotiate simulated merger and acquisition transactions), is the firm's liaison to the Nashville Area Chamber of Commerce and serves on the Chamber's Economic Development Committee.  He is a member of the Business Law Section of the American Bar Association and also serves on the executive committee at Bass, Berry & Sims.  He has also been listed in the Lawdragon 500 New Stars, New Worlds for 2006.

Allen graduated with honors in 1985 from Millsaps College and he received his law degree in 1987 from the University of Mississippi where he served on the editorial board of the Mississippi Law Journal.  He received his LL.M (securities regulation), with distinction, from the Georgetown University Law Center in 1993.
