Andy focuses his practice on mergers, acquisitions, divestitures and other complex business transactions for public and private healthcare and other companies. His practice also includes public offerings of equity and debt securities, private placements and other strategic transactions. In addition, Andy advises both public and private companies on general corporate and securities law matters, including corporate governance, strategic analysis, public company disclosure and other SEC regulatory matters.

Andy has significant experience leading interdisciplinary teams in acquisitions and divestitures of healthcare providers, including hospitals, hospice and home health agencies, physician practices and long-term care facilities, as well as companies in the medical diagnostic and life sciences industries. Andy has also served as Assistant General Counsel for a leading global provider of medical transcription services where he assisted in a variety of strategic corporate matters, including a recapitalization and sale of the company to private equity buyers.

  • Representation of hospice company in sale to strategic acquirer
  • Representation of hospitalist management company in acquisitions of hospitalist and intensivist service providers
  • Representation of for profit hospice company in acquisitions of for profit and nonprofit hospice agencies
  • Representation of publicly traded long term care company in acquisitions of assisted living and nursing home facilities and home health agencies
  • Representation of international medical diagnostics company in acquisitions of clinical pathology laboratory companies in the United States
  • Representation of publicly traded pharmacy benefits management services company in sale to strategic acquirer
  • Representation of special committee of the board of directors of publicly traded medical imaging company in sale to strategic acquirer
  • Representation of publicly traded senior living company in sale to strategic acquirer
  • Representation of supply chain logistics company in acquisitions of other logistics companies
  • Representation of publicly traded owner and operator of privatized correctional and detention facilities in public offering of $465 million in senior notes and $450 million self-tender offer for senior notes
  • Representation of national provider of industrial and agricultural minerals in sale to strategic acquirer

Andy received his law degree from The University of Texas School of Law in 2001. He received his B.S. in accounting from Lipscomb University in 1995. Prior to attending law school, Andy was a tax consultant with Ernst & Young LLP.
