Angela focuses her practice on the representation of healthcare companies in mergers and acquisitions, the creation of joint ventures, public debt and equity offerings, private placements of securities, and corporate governance and public company disclosure matters.

Healthcare: Being a member of both the healthcare and corporate departments, Angela represents many healthcare clients on a variety of matters. She leads interdisciplinary teams in the acquisition and disposition of hospitals, surgery centers, behavioral health facilities, managed care plans and other healthcare companies; structuring of syndications, joint ventures and strategic investment opportunities; and coordination of financing transactions, including private equity investments. She also advises clients on a wide range of operational matters.

Representative Matters include:
  • Representation of Coventry Health Care, Inc. during 2007 in acquisition transactions with an aggregate value of over $1 billion and financing transactions with an aggregate value of $800 million;
  • Representation of Coventry Health Care, Inc. in its $1.8 billion merger with First Health Group Corp. in 2005;
  • Representation of clients in the acquisition of acute care and behavioral hospitals, including the representation of IASIS Healthcare in the acquisition of four hospitals since 2004 with an aggregate value of over $175 million;
  • Representation of IASIS Healthcare in its $1.5 billion acquisition by a group of investors led by Texas Pacific Group; and
  • Representation of clients in multiple transactions in the acquisition and joint venturing of over 50 surgery centers since 2000.

Angela is active in nonprofit and community service. She serves as a Sennet Society Steering Committee Member, Healthcare Industry Ambassador and Tocquesville Society Member for United Way of Metropolitan Nashville. She is on the Board of Directors and serves as General Counsel of All About Women, Inc., an organization designed to provide free resources to women to improve their education, health and wellness.
